- Arbitrator Selection: One neutral arbitrator shall be selected in accordance with AAA rules
- Governing Rules: The arbitration shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16
- Decision: The arbitrator’s decision shall be final and binding on both parties
- Judgment: Judgment on the arbitration award may be entered in any court having jurisdiction
- Costs and Fees: Each party shall bear its own attorneys’ fees and costs unless the arbitrator determines otherwise based on applicable law
8.3 Exceptions to Arbitration
Notwithstanding the arbitration provision above, either party may:
- Seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or to prevent irreparable harm
- Pursue claims in small claims court if the claim qualifies and remains in small claims court
- Bring claims that by law cannot be subject to arbitration
8.4 Class Action and Jury Trial Waiver
CLASS ACTION WAIVER: YOU AND EQUITY PRINCIPLE CONSULTING, LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class, collective, or representative proceeding.
JURY TRIAL WAIVER: TO THE EXTENT ANY DISPUTE IS NOT SUBJECT TO ARBITRATION, YOU AND EQUITY PRINCIPLE CONSULTING, LLC EACH WAIVE ANY RIGHT TO A TRIAL BY JURY.
- GOVERNING LAW AND JURISDICTION
These Terms and any dispute arising out of or relating to these Terms or the Website shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.
To the extent any dispute is not subject to arbitration as set forth in Section 8, you and Equity Principle Consulting, LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Durham County, North Carolina, and waive any objection to such jurisdiction or venue.
- COMPLIANCE WITH LAWS
You agree to comply with all applicable federal, state, local, and international laws and regulations in connection with your use of the Website, including but not limited to:
